Introduction
Here at Webovio we always do our best to ensure we meet & exceed your expectations, however we appreciate it is also important to have this in writing so we both know where we stand.
We have no hidden agenda, no desire to trick or fool and thus you will only ever find our terms set out in an easy to read format. We won’t use long passages of text, complicated legal terms, hidden pricing or bury important sections in small print.

Let’s keep this simple, YOU from YOUR COMPANY (as per name given at signup) has agreed to hire Webovio (We/Us) to design, develop and maintain your website(s) as per the package(s) description.
There will be a single monthly price for the package you signed up to, which will include

In Detail
You:

You have the authority to enter into this contract yourself, your company or your organisation.

You will provide the branding, assets, content and information required to complete the design.

You will be given 72 hours from completion of the design for final editing, tweaks etc to be made. Outside of the 72 hours, any changes not considered as minor may be charged.

You agree to adhere to the payment schedule, we use GoCardless to take a monthly direct debit payment as per your package on a minimum term of 12 payments. Alternative payment options may be available.
Us:

We will design, develop and manage your website to the specifications of your organisations needs. We do our upmost to remain flexible, exceed expectations and ensure you are happy.

We will try to use as little jargon as possible and ensure that if we do use jargon it is fully explained.

We will provide you with plenty of opportunities to review the progress and provide input, changes etc.

We won’t go live with a website until you are happy.

We won’t increase the price during the minimum term, if the price increases outside of this, we will provide 30 days notice.
Content
Whilst we can and do write content for our customers, we accept no liability for any errors and ask that all content is read, checked and signed off before going live. Whilst we can assist with content we advise that all content is provided by You or from a copyrighter service.
Media
Most images, media and photographs are to be supplied by You, ideally these will be high resolution original images. Do not supply us with images taken from other sources (websites, social media, rival organisations etc) as these may be subject to copyright for which we hold no liability. We can of course provide ‘stock’ photographs which are free to use on the website.
SEO & Search Engines
Whilst we offer SEO services we cannot guarantee results. All websites we make are visible to search engines and conform to their basic requirements. We offer addons which have the potential to boost or assist with rankings, but due to the nature of search engines we cannot offer any guarantee on results.
Technical
We are a 20i.co.uk reseller which allows us to offer domains and some of the countries best hosting as part of the package. Technical support is provided by the host and domain provider 20i, although we will facilitate and manage the interactions on your behalf. Due to this, we follow 20i.co.uk guidelines for resolution timescales.
Legal
We will always strive to work at the highest standard, including following industry good practices and guidelines. You should expect a professional, yet friendly experience with Webovio. If we ever fall short then please do contact us.
Due to the nature of our work, we would never guarantee to be error-free and thus we provide no guarantee or offer no liability for any damages, including loss of profits, loss of savings or other damages. We will however ensure that errors or technical issues are treated as priority and fixed as soon as possible.
Your liability to us will be limited to the amount of fees payable for the minimum term of the package you chose. You won’t be liable for any third-party damages including loss of profits, loss of savings or other damages.
If any provision of this contract is or is deemed unlawful, void or nor any other reason unenforceable then the provision shall be deemed severable from the contact and not affect the validity and enforceability of any remaining provisions.
Intellectual Property Rights
You guarantee that all elements of text, images or other artwork you provide are owned by you, your company or your organisation or you have full permission to use them
Likewise, We guarantee that all elements of text, images or other artwork we provide are owned by us or we have full permission to use them.
The website we design for you will remain our property, as will the domain name and any visual elements we create (for example logos, branding, images) until such a time as the minimum term is paid in full (12 payments).
We reserve the right to use our creative works in sketches, promotional videos, portfolios, project lists and articles on websites & social media. If for any reason you don’t wish for this to be the case, please contact us.
Payments
We issue our invoices monthly and take payment via our third party GoCardless. Any failed Direct Debit will be charged with a £10 administration fee and be subject to any standard fees set by GoCardless and/or your banking provider. We are in special circumstances able to take payment in other forms such as BACS and card payments via Stripe.
Cancellations
You are liable for an initial period of 1 year / 12 months (12 monthly payments), with your initial payment due immediately. From the end of this minimum period you will then enter a rolling calendar month contract.
Either you or us can end the contract by providing 30 days notice in writing.
You can end your contract early, but the minimum period will become due in full. For example you can cancel at 4 months but the remaining 8 monthly payments will become due immediately.
Any additional purchases are billed as monthly packages and subject to these same terms, or treated as one off purchases. This will be made clear to you at the time of acceptance.
Finally
By submitting work to us, or agreeing to these terms, we are both bound by the terms and conditions set out in this contact. These terms need not be renewed and the contract remains in place for the duration of the package.
Whilst we chose to keep our terms in an easy to read format with short sentences and no jargon it is important to remember the serious instructions set out in this agreement.
